Established: July 1, 2025

Last revised: October 23, 2026 (effective the same day)

Article 1 (Purpose)

1. These Terms of Service ("these Terms") apply to users ("Users") who use "Addness" ("the Service"), operated by ADDNESS Inc. ("the Company"). Users shall use the Service only after agreeing to these Terms.

2. These Terms set forth the conditions for using the Service. All Users who register for the Service shall use the Service in accordance with these Terms and any conditions that apply based on age, usage environment, or similar factors.

3. By agreeing to these Terms, a contract between the Company and the User ("the Agreement," as defined in Article 2) is formed.

Article 2 (Definitions)

The following terms used in these Terms have the meanings set forth below.

(1) "Agreement" means the service use agreement concluded between the Company and the User with these Terms as the contract conditions.

(2) "User" means any corporation or individual registered to use the Service.

(3) "User Information" means a User's ID, password, and all other information registered in the Service.

(4) "Communication Devices" means smartphones, tablets, and computer equipment.

Article 3 (User Registration)

1. A person wishing to become a User shall complete user registration in accordance with procedures prescribed by the Company after agreeing to these Terms. If the User is a corporation, the User shall appoint, from among its officers, employees, or other related persons, an operational administrator who has administrative authority relating to use of the Service and the role of designating persons permitted to use the Service. In such case, the User shall be responsible for all acts performed by any person designated by the User as permitted to use the Service.

2. If any registered information changes, the User shall promptly complete the procedure for changing such registered information.

3. The Company may refuse user registration at its discretion.

4. Users may not allow third parties to use, lend, transfer, sell, or pledge their Service accounts.

5. Minors must obtain the consent of a legal representative before using the Service.

Article 4 (Content of the Service)

The Service consists of multiple individual services (including task management, project management, and AI analysis functions, collectively "Individual Services"). Some Individual Services may have separate terms of use ("Individual Terms") in addition to these Terms. In such cases, the Individual Terms shall form part of these Terms and apply between the Company and the User. If Individual Terms are provided, they shall prevail over these Terms to the extent of any inconsistency, and these Terms shall apply to matters not specified in the Individual Terms.

The Service may include communication features such as direct messages, group chats, comments, mentions, file sharing, voice calls, video calls, online meetings, screen sharing, audio recording, transcription, and AI-generated summaries (collectively, "Communication Features").

When using Communication Features, Users understand and agree that communication content, counterparties, transmission and reception timestamps, read status, room IDs, participant information, attached files, camera video, microphone audio, screen-sharing data, recordings, transcription results, AI-generated summaries, and other information necessary to provide Communication Features may be stored, processed, displayed, searched, notified, or managed on the Service or on external services used by the Company.

Camera video is delivered to participants in real time when a User enables the camera. Enabling the camera alone does not start recording; if the Company provides a recording feature, the Company will clearly indicate this through displays in the Service or other methods.

Article 4-2 (Use of Communication Features)

1. Users shall use Communication Features within the scope of their own or their organization's business, learning, project management, or other purposes consistent with the purpose of the Service.

2. Users represent and warrant that they have the necessary rights, authority, and consents regarding information they transmit, post, share, speak, record, upload, or input using Communication Features.

3. Users may not use Communication Features to transmit, post, share, speak, record, upload, or input information that violates laws or public order and morals, infringes the rights of third parties, breaches confidentiality obligations, contains excessively sensitive personal information, or that the Company otherwise deems inappropriate.

4. In principle, the content of communications made through Communication Features and information incidental thereto may be viewed or used only by the participants in the communication, Users with applicable authority in the organization or workspace to which the communication belongs, and other persons authorized as prescribed by the Company.

5. If organization administrators are able to view, manage, delete, export, or audit communication content, recordings, transcription results, AI-generated summaries, or other information related to Communication Features, the scope of such abilities will be indicated through settings or specifications in the Service, notices, or other methods separately prescribed by the Company.

6. The Company may handle information related to Communication Features to the extent necessary for operating the Service, including providing and maintaining Communication Features, responding to failures, preventing unauthorized use, ensuring security, complying with laws, and responding to inquiries. However, if officers, employees, or contractors of the Company view communication content, such viewing shall be limited to the minimum necessary scope, and the Company shall implement appropriate management measures such as access control and logging.

7. The Company may disclose or use information related to Communication Features, to the extent permitted by law, when required by law, when it receives a lawful request from a court, administrative agency, investigative authority, or other public authority, or when necessary to protect the life, body, or property of a User or third party.

8. The Company may use information related to Communication Features within the scope necessary to process the relevant communication content, including providing the Service, providing the relevant communication features and improving their quality, providing context for AI functions, and reflecting information in goals, tasks, or meeting minutes. However, the Company will not, without the User's consent or a legal basis, publish communication content, recordings, transcription results, or AI-generated summaries, sell or provide them to third parties, or use them for purposes unrelated to the provision of the Service. Even where a User grants the Company a license to use content under other provisions of these Terms, the Company's use of communication content transmitted through Communication Features is limited to the scope of this paragraph.

Article 4-3 (Recording, Transcription, and AI Summaries)

1. Users understand that features such as recording, video recording, transcription, AI-generated summaries, and meeting-minute generation (collectively, "Recording and Analysis Features") may be provided in huddles, voice calls, online meetings, screen sharing, and other Communication Features.

2. A User who initiates a Recording and Analysis Feature shall have the authority necessary to use that feature and shall be responsible for providing necessary explanations and notices to, and obtaining necessary consents from, participants and other relevant persons. The Company may, however, provide notices or consent flows to participants within the Service, such as recording indicators, transcription indicators, AI-summary indicators, or consent confirmation screens.

3. When Recording and Analysis Features are used, the Company may store, process, analyze, display, or delete recording data, audio data, screen-sharing data, transcription results, AI-generated summaries, speaker and participant information, start and end times, room IDs, and other information necessary to provide those features.

4. Because transcription and AI-generated summaries are produced by machine processing, the Company does not guarantee their completeness, accuracy, legality, or fitness for a particular purpose. When using generated results, Users shall review the content themselves and correct it as necessary before use.

5. In principle, information generated by Recording and Analysis Features may be viewed only by the participants in the communication, Users with applicable authority in the goal, project, organization, or workspace associated with the communication, and other persons authorized as prescribed by the Company.

6. Users may not record, video-record, copy, share externally, publish, or provide to third parties the content of communications without the consent of other participants, or by methods contrary to in-product displays, settings, or applicable law.

Article 4-4 (Use of External Services and External AI Services)

1. The Company may use external services to provide the Service and Communication Features, including cloud infrastructure, storage, voice-call platforms, transcription services, AI models, notification platforms, authentication platforms, and payment platforms.

2. To provide transcription, AI-generated summaries, meeting-minute generation, search, classification, summarization, suggestions, and other features, the Company may transmit information that Users input, transmit, speak, share, or upload to external AI services or other external services or contractors engaged by the Company, and have them process such information.

3. When using external AI services, the Company limits the scope of information transmitted to what is necessary to provide the relevant feature. The Company also uses external AI services only under contractual terms or settings under which information input or transmitted by Users is not used for training or improving the models of those external AI services. However, logs and other information may be retained for a certain period for purposes such as monitoring for abuse, in accordance with the specifications, contracts, or settings of the external AI service or with legal requirements.

4. Details such as the information transmitted to external AI services or contractors, purposes of use, retention periods, whether information is used for training, and whether information is transferred outside Japan will be indicated through the Privacy Policy, displays in the Service, settings screens, notices at the time features are used, or other methods prescribed by the Company.

5. In selecting external services and contractors, the Company will endeavor to implement necessary security measures, confidentiality, management of subcontracting, data protection, restrictions on training use, and other reasonable controls.

Article 4-5 (Storage, Deletion, and Export)

1. Information related to Communication Features is stored or deleted according to deletion by Users or organizations, deletion of the organization, the specifications of the Service, statutory retention obligations, security, audits, prevention of unauthorized use, failure response, and other reasonable necessities.

2. As a basic policy, huddle recording files are deleted after transcription, AI-generated summaries, meeting minutes, and other deliverables have been created. In case deletion processing fails, the Company may implement storage lifecycle settings that delete such files after a certain period.

3. Transcriptions, AI-generated summaries, meeting minutes, action items, and other generated materials may be stored as deliverables on Addness until deleted by the User or organization, deletion of the organization, or the end of a retention period separately prescribed by the Company.

4. Even if a User or organization administrator deletes communication content, recordings, transcription results, AI-generated summaries, or other information related to Communication Features, backups, audit logs, security logs, billing records, inquiry-response records, records that must be retained by law, and other information necessary for technical or business reasons may remain for a certain period.

5. The Company may provide Users or organization administrators with functions such as export, restoration, and complete deletion of information related to Communication Features. However, the Company does not guarantee export, restoration, or complete deletion of all information due to legal, security, audit, backup, failure-response, or other technical or business reasons.

Article 5 (Fees)

1. If use of the Service involves fees, such fees shall be governed by the fee schedule prescribed by the Company.

2. Users may settle fees related to the Service only by methods prescribed by the Company. Even if a User cancels, suspends, or discontinues use of the Service for the User's own reasons, the Company will not refund fees already received (including amounts corresponding to any unused portion of the term), except in the case of termination of the Agreement for reasons attributable to the Company, where the Company bears a refund obligation under applicable law, or in the case of erroneous or duplicate billing by the Company. Refunds where the Company terminates the Agreement under the first sentence of Article 13, Paragraph 2 or discontinues the Service under Article 17 are governed by those provisions.

3. Paid plans automatically renew for each contract term (one month for monthly billing, one year for annual billing) unless the User completes the cancellation procedure set forth in Article 14 before the end of the contract term.

4. If the Company offers a free trial, the plan automatically converts to a paid plan and fees begin to accrue at the end of the free trial period unless the User completes the cancellation procedure.

5. If a paid plan is purchased through the App Store in the iOS app or through Google Play in the Android app, the terms of the applicable store apply to payment and to the procedure for cancelling the subscription, and cancellation shall be performed through the subscription management screen of the applicable store. However, this paragraph does not limit the Company's refund obligations under the proviso to Article 5, Paragraph 2, Article 13, Paragraph 2, or Article 17, Paragraph 1, or any other rights of Users under applicable law. Refunds in such cases will be made through the procedure of the applicable store or by a method notified by the Company, and any amount refunded by the applicable store is excluded from the refund.

Article 6 (Management of User Information and Communication Devices)

1. Users shall, at their own expense and responsibility, prepare all equipment, communication means, transportation, and other environments necessary to receive the Service. Any communication costs required to use the Service shall also be borne by the User. The Company does not guarantee that the Service will function normally on a User's communication devices or related environment.

2. Users are responsible for managing their User Information and Communication Devices. Except where caused by the Company's intentional misconduct or gross negligence, the User shall bear responsibility for damages resulting from inadequate management, operational errors, or use by third parties, and the Company shall bear no responsibility.

3. If there is a risk that User Information or Communication Devices may be used by a third party, the User shall immediately notify the Company and follow any instructions given by the Company.

Article 7 (Conditions for Providing the Service)

The Company may suspend or change the Service without notice to Users for maintenance or other reasons. However, if the Company discontinues a feature or makes any other change that has a material impact on Users, the Company will notify Users in advance by a method prescribed by the Company, except where there is an urgent need.

Article 8 (Use of AI Functions)

1. Users shall use the Service only after understanding and accepting that AI functions have the following characteristics.

  • Analytical results and predictions are for reference only and are not guaranteed to be complete
  • Expected results may not be obtained due to the nature of machine learning
  • AI models are continuously improved, and results may change over time

2. The Company may use anonymized and aggregated data generated from User Information through the use of AI functions for service improvement.

3. When using outputs generated by AI functions, Users shall verify the contents and use them at their own responsibility.

4. Users understand that, when AI functions are used, communication content, attached files, recordings, transcription results, chats, comments, goals, projects, and other information on the Service may be subject to AI processing. The Company will indicate the scope of AI processing, purposes of processing, viewing scope, use of external AI services, retention periods, deletion policies, and whether information is used for training, through the Privacy Policy, displays in the Service, settings screens, notices at the time features are used, or other methods prescribed by the Company.

Article 9 (Integration with Third-Party Services)

1. The Service may integrate with third-party services such as Google Workspace, Microsoft 365, and Slack.

2. Integration with third-party services does not mean that the Company has a partnership with the operators of such services, and Users shall use those third-party services at their own responsibility.

3. Users shall resolve at their own expense and responsibility any problems arising from integration with third-party services that are attributable to the User. Compensation for any damage caused to the Company as a result, through the User's intentional misconduct or negligence, is governed by Article 16, Paragraph 1.

Article 10 (Backups)

1. Users shall back up User Information at their own responsibility.

2. The Company performs backups as a measure against system failures, but does not guarantee data recovery.

Article 11 (Intellectual Property Rights)

1. Copyrights and other rights in content that a User posts, transmits, uploads, or inputs on the Service ("User Content") are retained by the User or the rightful rights holder. The User grants the Company a non-exclusive, royalty-free license to use User Content (including reproduction, adaptation, public transmission, display, format conversion, and other uses, and including the exercise of the rights set forth in Articles 27 and 28 of the Copyright Act) to the extent necessary for providing, maintaining, and improving the Service, providing context for AI functions, search, display, backup, and promotion of the Service (limited to content the User has made public), for the term of the Agreement and for a reasonable period thereafter (including until backups expire). The Company may allow its contractors to use User Content to the extent necessary for these purposes. However, with respect to communication content, recordings, transcription results, and AI-generated summaries covered by Articles 4-2 through 4-5, the Company's use is limited to the scope set forth in Article 4-2, Paragraph 8.

2. Regardless of method or form, Users may not reproduce, reprint, publicly transmit, alter, or otherwise use any and all information and content provided through the Service (collectively, "Company Content") beyond the scope of private use permitted by copyright law.

3. All intellectual property rights concerning Company Content, including copyrights, patent rights, utility model rights, trademark rights, design rights, and all other intellectual property rights, as well as rights to obtain registrations of those rights (collectively, "Intellectual Property Rights"), belong to the Company or licensors from whom the Company has obtained a license, and do not belong to Users. Regardless of whether such rights are registered, Users may not reproduce, distribute, reprint, transfer, publicly transmit, modify, adapt, or otherwise make secondary use of Company Content.

4. If any issue arises because a User violates this Article, the User shall resolve the issue at the User's own expense and responsibility and shall take appropriate measures so as not to cause any disadvantage, burden, or damage to the Company.

5. Users shall not exercise moral rights of authors against the Company or its contractors to the extent necessary for the uses set forth in the preceding paragraphs.

Article 11-2 (Use of User Names and Logos)

1. A User that is a corporation or other organization consents to the Company's displaying or publishing, free of charge, that User's name, trade name, logos, trademarks, and similar identifiers (collectively, "User Logos") on the Company's website, in sales materials, in advertising materials, and in other media for the purpose of introducing the User as a customer of the Service. The name, likeness, or similar identifiers of a User who is an individual will be published or displayed only with that User's separate, individual consent.

2. In using User Logos, the Company shall follow any display requirements or guidelines designated by the User and shall not alter User Logos, except for enlargement, reduction, or similar adjustments necessary for display.

3. The User may request that the Company cease publishing or displaying User Logos by a method prescribed by the Company. In such case, the Company shall, within a reasonable period, cease new publication or display and, to the extent practicable, delete or replace existing publications.

Article 12 (Prohibited Acts)

1. The Company prohibits Users from engaging in any of the following acts in connection with use of the Service.

  • Acts that violate these Terms
  • Acts that infringe or may infringe the intellectual property rights, patent rights, utility model rights, design rights, trademark rights, copyrights, portrait rights, or other proprietary or personal rights of the Company, its licensors, or any third party
  • Acts that cause or may cause disadvantage or damage to the Company or a third party
  • Acts that unjustly harm or may harm another person's honor, rights, or credibility
  • Acts that violate laws, regulations, or ordinances
  • Acts contrary to public order and morals, acts likely to be contrary to public order and morals, or acts of providing information likely to be contrary to public order and morals to other Users or third parties
  • Criminal acts, acts connected to crimes, acts that encourage crimes, or acts likely to do so
  • Providing false information or information likely to be false
  • Unauthorized access to the Company's systems, tampering with program code or location information, intentional falsehoods, cheating using communication device specifications or applications, distribution of computer viruses, or any other act that interferes or may interfere with the normal operation of the Service
  • Automating operation of the Service other than through an API, MCP, CLI, or other integration method provided or permitted by the Company, or placing an excessive load on the Service
  • Acts that damage or may damage the credibility of the Service
  • Acts that may adversely affect the sound development of minors
  • Impersonating third parties by using other Users' accounts or by any other means
  • Acts connected or likely to be connected to crimes such as fraud, illegal sale of bank accounts, or illegal sale of mobile phones
  • Acts related to criminal proceeds, terrorism financing, or suspected involvement in such acts
  • Publishing, sharing, selling, transferring, leaking, or misusing communication content, recordings, video recordings, transcription results, AI-generated summaries, or other information related to Communication Features outside the Service without the consent of other Users or third parties
  • Using Communication Features to transmit, post, share, record, transcribe, process with AI, or send externally a third party's confidential information, personal information, sensitive information, copyrighted works, or other protected information without the necessary authority or consent
  • Circumventing, disabling, falsifying, or obstructing recording indicators, consent confirmations, permission settings, or other safety-management measures or notification flows in the Service
  • Any other act that the Company deems inappropriate on reasonable grounds

2. If the Company determines that a User's conduct falls under any of the items in Paragraph 1, the Company may take any or all of the following measures. In such case, the Company will, in principle, notify the User in advance; provided, however, that this does not apply where there is an urgent need.

  • Restrict use of the Service
  • Terminate the Agreement and remove the User from membership
  • Any other action the Company reasonably deems necessary

Article 13 (Termination)

1. The Company may terminate the Agreement and remove the User from membership if the User falls under any of the following items. In such case, the Company will, in principle, notify the User in advance; provided, however, that this does not apply where there is an urgent need.

  • Registered information contains false information
  • The User has previously been removed from membership by the Company
  • The Company receives notice from an heir or similar person that the User has died, or the Company otherwise confirms the User's death
  • A minor uses the Service without the consent of a legal representative
  • An adult ward, person under curatorship, or person under assistance uses the Service without the consent of a guardian, curator, assistant, or similar person
  • The User fails to respond sincerely to requests from the Company
  • Any other case the Company deems inappropriate on reasonable grounds

2. In addition to the cases listed in the preceding paragraph, the Company may terminate the Agreement and remove the User from membership by giving at least 30 days' prior notice. In such case, the Company will refund, on a pro-rata daily basis, the portion of any prepaid fees corresponding to the unexpired period from the termination date. Refunds for paid plans purchased through the App Store or Google Play are governed by Article 5, Paragraph 5. Users may also withdraw by following the procedure prescribed by the Company. The effect of cancellation of a paid plan is governed by Article 14.

3. A User who withdraws due to the measures in Paragraph 1 loses the benefit of time upon withdrawal and must immediately perform all obligations owed to the Company.

4. If the Agreement is terminated pursuant to this Article, the handling of User Information shall be governed by the Company's Privacy Policy.

Article 14 (Cancellation by User)

1. A User may cancel the Service by completing the cancellation procedure using the method prescribed by the Company.

2. For both monthly and annual plans, cancellation becomes effective at the end of the contract term in effect at the time of the cancellation procedure (the next renewal date). Users may use the Service until the end of that contract term, after which they can no longer use the Service. User Information continues to be retained, and Users who subscribe again can continue using it.

3. Even in the event of cancellation, fees already received will not be refunded (except in the cases set forth in the proviso to Article 5, Paragraph 2).

4. Cancellation of a paid plan alone does not delete User Information. Deletion of an account or organization shall be performed through the prescribed procedures in the Service, and the handling of data after deletion is set forth in the Privacy Policy.

Article 15 (No Warranty and Disclaimer)

1. The Company makes no warranty whatsoever regarding the completeness, accuracy, validity, or similar aspects of the Service. The Company also does not guarantee that the Service will be free from interruption, suspension, or other failures.

2. When a User uses the Service, the User may transition from the Service to other services operated by third parties related to the Service ("External Services"). In such case, the User shall use the Service and the External Services at the User's own responsibility and expense after agreeing to the terms of use of the External Services. The Company makes no warranty whatsoever regarding the completeness, accuracy, validity, or similar aspects of External Services.

3. Except where caused by the Company's intentional misconduct or gross negligence, the Company shall bear no responsibility even if a User suffers damage because the User failed to change registered information.

4. Users shall use the Service within the scope permitted by law. Except where caused by the Company's intentional misconduct or gross negligence, the Company shall bear no responsibility even if the User's use of the Service violates Japanese or foreign laws.

5. Except where caused by the Company's intentional misconduct or gross negligence, even if User Information is stolen through unexpected unauthorized access or similar acts, the Company shall bear no responsibility for any resulting damage suffered by the User.

6. The Company shall bear no responsibility for any failure to perform all or part of the Agreement caused by force majeure, including natural disasters, earthquakes, fire, strikes, trade suspension, war, civil unrest, infectious disease outbreaks, or similar events.

7. Except where caused by the Company's intentional misconduct or gross negligence, even if a dispute arises between Users in connection with use of the Service, whether inside or outside the Service, the Company shall bear no responsibility, and such dispute shall be resolved by the Users concerned at their own expense and responsibility.

8. Nothing in this Article exempts the Company from liability for damage caused to Users by the Company's intentional misconduct or gross negligence.

Article 16 (Liability for Damages)

1. If a User causes damage to the Company intentionally or negligently, the User shall compensate the Company for the damage incurred by the Company.

2. Except as provided in the following paragraph, and notwithstanding any other provision of these Terms, where the Company bears liability for damages to a User, the amount of such damages shall be limited to the total amount of usage fees paid by the User to the Company during the 12 months preceding the date the damage occurred (or JPY 10,000 if that total is less than JPY 10,000), and shall be limited to ordinary and direct damage. This limitation shall not apply, however, to damage caused by the Company's intentional misconduct or gross negligence.

3. Notwithstanding the preceding paragraph, if the User is a corporation, or an individual uses the Service as or for a business, the Company shall bear no liability for damage suffered by that User in connection with the Service unless the Company has acted intentionally or with gross negligence.

4. The Company shall not be liable for lost profits, indirect damages, special damages, consequential damages, or damages arising from loss of or damage to data, except where caused by the Company's intentional misconduct or gross negligence. However, Paragraph 2 applies to damages arising from loss of or damage to data suffered by Users who are consumers under the Consumer Contract Act.

5. The provisions of these Terms concerning disclaimers and limitations of liability shall not apply to damage caused by the Company's intentional misconduct or gross negligence. In addition, in relation to Users who are consumers under the Consumer Contract Act, any provision of these Terms that exempts the Company from liability (excluding Paragraph 4) shall apply as a provision limiting the Company's liability to the extent set forth in Paragraph 2.

Article 17 (Discontinuation of the Service)

1. The Company may discontinue providing the Service if the Company reasonably determines that the Service should be discontinued. In such case, the Company will refund, on a pro-rata daily basis, the portion of any prepaid fees corresponding to the unexpired period from the discontinuation date. Refunds for paid plans purchased through the App Store or Google Play are governed by Article 5, Paragraph 5.

2. In such case, other than the refund under the preceding paragraph, the Company shall bear no responsibility unless the Company has acted intentionally or with gross negligence.

Article 18 (Confidentiality)

1. Users and the Company shall strictly and appropriately manage confidential information learned from the other party in connection with provision of the Service, including know-how regarding the Service, information relating to the Company's systems, and all technical or business secrets, and shall not disclose, provide, or leak such information to any third party without the other party's prior written consent.

2. The following information shall not constitute confidential information.

  • Information already possessed at the time of disclosure
  • Information already publicly known at the time of disclosure or that later becomes publicly known through no fault of the receiving party
  • Information lawfully obtained from a third party after disclosure
  • Information independently developed or created without relying on the disclosed confidential information
  • Information required to be disclosed by law or court order

3. If instructed by the other party or if the Agreement ends, Users and the Company shall promptly return or destroy confidential information after restoring it to its original state in accordance with the other party's instructions, and shall not use it thereafter.

4. To the extent necessary to provide the Service, the Company may disclose a User's confidential information to an affiliate or contractor that is bound by confidentiality obligations equivalent to those set forth in this Article. The Company shall be responsible, in accordance with these Terms, for the handling of such confidential information by that affiliate or contractor (subject to Article 16).

5. The Company may use a User's confidential information for the purpose of providing the Service.

Article 19 (Exclusion of Anti-Social Forces)

1. Users and the Company each represent and warrant that they are not currently, and will not in the future become, an organized crime group, member of an organized crime group, person who has not yet passed five years since ceasing to be such member, quasi-member, affiliated company, corporate extortionist, racketeer claiming to be a social activist, special intelligence violent group, or any equivalent person (collectively, "Anti-Social Forces"), and that none of the following items apply.

  • Having a relationship in which Anti-Social Forces are recognized as controlling management
  • Having a relationship in which Anti-Social Forces are recognized as being substantially involved in management
  • Having a relationship in which Anti-Social Forces are recognized as being unjustly used for the purpose of obtaining improper profit for oneself, one's company, or a third party, or for the purpose of causing damage to a third party
  • Having a relationship recognized as involving provision of funds or other benefits to Anti-Social Forces
  • An officer or person substantially involved in management having a socially reprehensible relationship with Anti-Social Forces

2. Users and the Company each covenant not to engage, directly or through a third party, in any of the following acts.

  • Violent demands
  • Unjust demands beyond legal responsibility
  • Threatening words or actions or use of violence in relation to transactions
  • Spreading rumors, using fraudulent means, or using force to damage the other party's credibility or obstruct its business
  • Any act similar to the foregoing items

3. If it becomes apparent that the other party is or falls under Anti-Social Forces or any of the items in Paragraph 1, has engaged in any of the acts in Paragraph 2, or has made a false declaration regarding the representations and warranties in Paragraph 1, Users and the Company may terminate the Agreement immediately without any notice, regardless of whether the terminating party is at fault.

4. Users and the Company confirm and agree that if the Agreement is terminated pursuant to the preceding paragraph, they shall bear no liability for any damage suffered by the other party as a result.

Article 20 (Handling of Inquiries)

1. The Company will endeavor to respond to User inquiries regarding the Service, but shall have no obligation to respond except where a duty or responsibility arises under law or these Terms.

2. The Company has no obligation to disclose the criteria it uses to determine whether to respond to inquiries from Users.

Article 21 (Assignment of Status, etc.)

Neither Users nor the Company may assign, transfer, create security over, or otherwise dispose of all or part of their contractual status under the Agreement or their rights or obligations under these Terms to a third party without the prior written consent of the other party; provided, however, that this restriction does not apply to share transfers, business transfers, mergers, company splits, or other organizational restructurings.

Article 22 (Handling of Personal Information)

The handling of personal information in the Service shall be governed by the "Privacy Policy" separately prescribed by the Company.

Article 23 (Severability)

1. Even if part of these Terms is judged invalid under law, the remaining provisions shall remain valid.

2. Even if part of these Terms is invalid or cancelled in relation to a particular User, these Terms shall remain valid in relation to other Users.

Article 24 (Measures Against Violations)

1. If a User discovers any act violating these Terms, the User shall notify the Company.

2. Users may submit their opinions regarding the Company's response to acts violating these Terms through the contact point designated by the Company. On the premise that the Company's response constitutes its final determination, the Company may review its response where it deems necessary. This paragraph does not preclude Users from exercising their rights under applicable law.

Article 25 (Term of the Agreement)

The Agreement remains effective from the time it is formed until the User withdraws. Articles 11, 13 Paragraph 3, 15 through 17, 18 (for three years after termination of the Agreement), 19 Paragraphs 3 and 4, 21, 23, this Article, and Articles 27 and 28 shall remain in effect even after termination of the Agreement.

Article 26 (Amendment of These Terms)

1. The Company may amend these Terms at any time in accordance with Article 548-4 of the Civil Code if either of the following items applies. After amendment, the amended Terms shall apply to the Agreement.

  • The amendment conforms to the general interests of Users
  • The amendment does not contradict the purpose of the contract and is reasonable in light of the necessity for the amendment, the appropriateness of the amended content, and other circumstances related to the amendment
